1. Acceptance of Terms
By accessing or using the SOULXER website and services ("Services"), you agree to be bound by these Terms of Service. If you do not agree, do not use our Services. We may update these terms from time to time; continued use after changes constitutes acceptance.
2. Description of Services
SOULXER provides custom software development, web and mobile applications, AI and automation solutions, cloud infrastructure, and related consulting and support ("Services"). Specific scope, deliverables, and timelines are defined in separate agreements or statements of work.
3. User Accounts and Information
When you submit inquiries or project details through our forms, you agree to provide accurate information. You are responsible for maintaining the confidentiality of any account credentials we provide. We may use your contact information to communicate about your project and our services, in accordance with our Privacy Policy.
4. Acceptable Use
You agree not to use our Services or website for any unlawful purpose, to infringe others' rights, to transmit harmful or malicious content, or to attempt to gain unauthorized access to our or third-party systems. We may suspend or terminate access for violation of these terms.
5. Intellectual Property
SOULXER retains ownership of its pre-existing IP, tools, and methodologies. Ownership of deliverables is as set forth in the applicable project agreement. Unless otherwise agreed in writing, custom work created for you may be assigned to you upon full payment and as specified in the statement of work.
6. Fees and Payment
Fees, payment terms, and invoicing are set out in your project agreement or quote. You agree to pay undisputed amounts when due. Late payments may incur interest and we may pause work until payment is received.
7. Limitation of Liability
To the maximum extent permitted by law, SOULXER and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business opportunities. Our total liability for any claim arising from these terms or the Services shall not exceed the fees paid by you for the relevant Services in the twelve (12) months preceding the claim.
8. Indemnification
You agree to indemnify and hold harmless SOULXER and its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Services, your breach of these terms, or your violation of any third-party rights.
9. Termination
Either party may terminate an engagement as set forth in the project agreement. We may terminate or suspend your access to our website or Services for breach of these terms. Upon termination, your right to use the Services ceases; provisions that by their nature should survive (e.g., IP, liability limits, indemnity) will survive.
10. Governing Law and Disputes
These terms are governed by the laws of India. Any dispute arising out of or relating to these terms or the Services shall be subject to the exclusive jurisdiction of the courts of India. If any provision is held invalid, the remaining provisions remain in effect.
